By downloading, accessing, or using the EchoFlag mobile application (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and EchoFlag Inc. ("EchoFlag," "we," "us," or "our"). These Terms are effective as of June 1, 2026.
These Terms apply to all users of the App, including anonymous reporters (ECHO ID users), registered account holders, and any other persons who access or use the App in any way.
EchoFlag is a reporting platform that enables individuals to submit reports of abuse, misconduct, safety violations, and other concerns across a range of industries and institutions.
Nothing in the App or its content constitutes legal advice. If you require legal counsel, please consult a qualified attorney in your area.
EchoFlag acts solely as a neutral, passive platform for user-submitted content and does not verify, investigate, endorse, or guarantee the accuracy of any reports or information submitted by users. EchoFlag does not have actual knowledge of the accuracy or falsity of user-submitted content and does not assume any duty to monitor or remove such content except as expressly provided herein.
EchoFlag operates solely as a neutral, passive platform that enables users to submit and access reports. EchoFlag does not create, develop, edit, endorse, verify, investigate, or assume responsibility for user-submitted content.
All reports, statements, and materials are generated solely by users, and EchoFlag does not adopt or ratify any such content.
You acknowledge that EchoFlag is not a publisher or speaker of user-submitted content and shall not be held liable for any claims arising from such content, including but not limited to claims of defamation, false light, invasion of privacy, or reputational harm.
You must be at least 13 years of age to use the App. Users between 13 and 17 are minors and are encouraged to use the App with the assistance of a parent, guardian, or trusted adult.
By using the App, you represent and warrant that you have the legal capacity to enter into these Terms and are not prohibited from doing so under any applicable law. Please see the Privacy Policy as it relates to minor use of the App.
If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
The EchoFlag Privacy Policy is hereby incorporated into these Terms by reference and forms an integral part of this agreement. By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by the Privacy Policy in addition to these Terms. In the event of any conflict between these Terms and the Privacy Policy, these Terms shall control to the fullest extent permitted by law.
You are solely responsible for the accuracy, completeness, and truthfulness of any report or content you submit through the App.
By submitting a report, you warrant that:
You acknowledge that submitting false or misleading reports may expose you to civil or criminal liability under applicable law. EchoFlag reserves the right to cooperate with legal authorities in such cases.
You expressly acknowledge that EchoFlag does not independently verify user submissions for non-partner organizations and that you bear full legal responsibility for the content you provide.
You expressly agree that all reports must be truthful, accurate, and submitted in good faith.
You agree not to submit any content that is false, misleading, exaggerated, or intended to harm the reputation of any individual or organization without a factual basis.
You acknowledge that you are solely responsible for the content of your submissions and that EchoFlag has no obligation to verify or validate any information provided.
You agree not to use the App to:
Violation of these prohibitions may result in immediate suspension or termination of your access to the App, and may be reported to appropriate authorities.
By submitting a report or any content through the App, you grant EchoFlag a limited, non-exclusive, royalty-free licence to use, store, process, and display that content solely for the purpose of operating the platform and supporting your report.
You retain ownership of all content you submit. EchoFlag will not share, sell, or publish your report content without your consent, except as required by law or as described in our Privacy Policy.
EchoFlag uses AI assistance to help structure and analyze report content. This processing is performed solely to support your report and is subject to our Privacy Policy.
We reserve the right (but have no obligation) to review, remove, or decline to process any submitted content that we determine, in our sole discretion, violates these Terms or applicable law.
You acknowledge that EchoFlag may rely on the accuracy and legality of user-submitted content without independent verification and shall not be responsible for any inaccuracies, omissions, or legal consequences arising from such content.
The App, including its design, features, branding, logos, and software, is owned by EchoFlag Inc. and is protected by applicable intellectual property laws.
You are granted a limited, non-transferable, revocable licence to use the App for its intended purpose in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works of the App or any of its components.
"EchoFlag" and associated logos and marks are trademarks of EchoFlag Inc. You may not use these marks without our prior written permission.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We do not warrant that the App will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that any report submitted through the App will result in any investigation, resolution, or other action.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ECHOFLAG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
EchoFlag does not warrant or guarantee the accuracy, reliability, or truthfulness of any user-submitted content. You acknowledge that any content available through the Service is provided for informational purposes only and should not be relied upon as verified, complete, or accurate. EchoFlag disclaims any responsibility for actions taken or not taken based on user-submitted reports.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECHOFLAG, ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.
This includes, without limitation, damages for loss of data, loss of opportunity, reputational harm, emotional distress, or any outcome related to reports submitted through the App — including cases where a report does not result in action, or where a report is acted upon in a manner you did not expect.
TO THE FULLEST EXTENT PERMITTED BY LAW, ECHOFLAG SHALL NOT BE LIABLE FOR ANY CLAIMS ARISING FROM OR RELATED TO USER-SUBMITTED CONTENT, INCLUDING BUT NOT LIMITED TO CLAIMS OF DEFAMATION, FALSE LIGHT, INVASION OF PRIVACY, OR OTHER REPUTATIONAL HARM.
EchoFlag assumes no duty of care to any third party with respect to user-submitted content. Nothing in these Terms shall be construed to create any duty to investigate, verify, remove, or act upon any report or content submitted through the Service.
You agree to indemnify, defend, and hold harmless EchoFlag, Inc., its officers, directors, employees, agents, affiliates, and service providers from and against any and all claims, demands, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
EchoFlag reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully in the defense of such claims. This obligation shall survive termination of your use of the App.
The App uses third-party services including cloud infrastructure, AI processing, and email delivery. These services are governed by their own terms and privacy policies.
The App may contain links to external websites or resources. EchoFlag is not responsible for the content, accuracy, or practices of any third-party websites or services. Your use of any third-party services accessed through or in connection with the App is at your own risk.
EchoFlag reserves the right to suspend or terminate your access to the App at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.
You may stop using the App at any time. If you have a registered account, you may request deletion of your account by contacting us at legal@echoflag.com or privacy@echoflag.com.
Upon termination, your right to use the App ceases immediately. Sections of these Terms that by their nature should survive termination will continue to apply. EchoFlag shall have no liability for any suspension, termination, or removal of content in accordance with these Terms.
These Terms and any dispute, claim, or controversy arising out of or relating to the App or Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
Binding Arbitration: To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to the Privacy Policy, Terms and Conditions, or your use of the App, including any/all claims for monetary damages, shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its applicable rules. The arbitration shall take place in Miami-Dade County, Florida, before a single arbitrator. Judgment on the arbitration award must be entered in a court of competent jurisdiction in Miami-Dade County, Florida.
Limited Court Proceedings (Non-Monetary Relief Only): Notwithstanding the foregoing, either party may seek non-monetary injunctive or equitable relief (including temporary restraining orders or preliminary/permanent injunctions) in state court located in Miami-Dade County, Florida, solely for the purpose of preventing or addressing actual or threatened harm. Such courts shall have exclusive jurisdiction and venue for these limited purposes only.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and EchoFlag regarding the use of the App.
Before initiating any formal legal proceeding, you agree to first contact EchoFlag at legal@echoflag.com and make a good faith effort to resolve the dispute informally. EchoFlag will make reasonable efforts to respond and resolve the matter within thirty (30) days of receipt of such notice.
If the dispute is not resolved through informal efforts, any legal action or proceeding shall be brought exclusively via Binding Arbitration in Miami-Dade County, Florida, in accordance with Section 17 above.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY CLAIM OR DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
You acknowledge that a breach of these Terms may cause irreparable harm to EchoFlag for which monetary damages may be inadequate. Accordingly, EchoFlag shall be entitled to seek injunctive or equitable relief in any court of competent jurisdiction without the requirement of posting bond or proving actual damages.
In any dispute arising out of or relating to the Terms and Conditions, the Privacy Policy, use of the App, or regarding any EchoFlag, Inc. service, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs to the fullest extent permitted by law.
We may update these Terms from time to time. When we do, we will update the effective date and notify you through the App. Material changes will be communicated with at least 14 days' notice where required by law.
Your continued use of the App after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.
